Gigafactory Texas, Tesla's headquarters near Austin.

The headline number is enormous: up to US$1 trillion. But the headline hides how the deal works.

It is paid only for results

The award is spread over ten years and paid only if Tesla reaches specific milestones — among them a market value of US$8.5 trillion. If Tesla does not grow, Musk does not get it. Shareholders gain far more than he does if the targets are reached.

Why owners said yes

Tesla's shareholders approved the package in November 2025. Their bet is simple: the company's next chapter — autonomy, robotaxis and the Optimus robot — depends on Musk staying focused on Tesla rather than on his other companies.

The critics

Critics say no executive should be paid this much, whatever the targets. Our view: a CEO who only gets rich if every other owner gets much richer first is the most shareholder-friendly deal in corporate America.
